Terms of Service

1. Platform Description

Bizraze is an online marketplace that connects business owners (“Sellers”) with prospective buyers (“Buyers”) for the purpose of facilitating business acquisitions, primarily in Germany, Austria, Switzerland, France, and the Netherlands.

The Platform provides tools to list businesses for sale, submit and review expressions of interest, exchange information between parties, generate AI-assisted contract drafts, and connect users with third-party legal professionals. Bizraze is a technology platform only — we do not act as a broker, agent, financial adviser, or legal adviser in any transaction.

2. Eligibility and Accounts

You must be at least 18 years old and capable of entering into legally binding contracts to use the Platform. By registering, you represent that all information you provide is accurate and up to date.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at hello@nextowner.com if you suspect unauthorised access to your account.

3. User Responsibilities

When using the Platform, you agree to:

• Provide accurate, complete, and non-misleading information in all listings, profiles, and communications.
• Not upload or share confidential information belonging to third parties without their consent.
• Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
• Not attempt to circumvent the Platform to complete transactions introduced through Bizraze, for a period of 12 months after initial contact, without paying any applicable platform fees.
• Not reverse-engineer, scrape, or use automated tools to extract data from the Platform.
• Not use the Platform to harass, defraud, or deceive other users.

We reserve the right to suspend or permanently ban accounts that violate these responsibilities, at our sole discretion and without prior notice.

4. AI-Generated Content Disclaimer

AI-generated valuations are estimates based on publicly available market data and the information you provide. Actual transaction values may differ materially. You should obtain an independent professional valuation before agreeing to any sale price.

AI-generated contract drafts are starting points for negotiation only. Before signing any agreement, both parties should have the document reviewed by a qualified legal professional familiar with the laws of the relevant jurisdiction. Bizraze accepts no liability for any loss or damage arising from reliance on AI-generated content.

5. Fees and Payments

Certain features of the Platform may be subject to fees as set out on our pricing page. All fees are stated inclusive of VAT where applicable. Payments are processed by our third-party payment provider. By submitting payment details, you agree to their terms and conditions.

Fees paid for completed bookings or premium features are non-refundable unless otherwise required by applicable consumer protection law.

6. Intellectual Property

All content on the Platform — including the Bizraze brand, logo, software, and design — is the property of Bizraze UG or its licensors and is protected by copyright and other intellectual property laws.

By submitting content to the Platform (such as listings, profile information, or messages) you grant Bizraze a non-exclusive, worldwide, royalty-free licence to store, display, and use that content solely for the purpose of operating the Platform.

7. Third-Party Services

The Platform integrates with third-party services including Supabase (database and authentication), Anthropic (AI processing), and payment processors. Use of these services is subject to their own terms and privacy policies. Bizraze is not responsible for the practices of any third-party provider.

Legal advisor services listed under “Legal Support” are provided by independent third-party law firms. Bizraze is not a party to any engagement between you and a legal advisor and accepts no responsibility for the advice they provide.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Bizraze and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform, including but not limited to:

• Loss of profits, revenue, data, or business opportunities.
• Losses arising from reliance on AI-generated valuations, contracts, or assessments.
• Losses arising from transactions between users that did not complete or completed on unfavourable terms.
• Unauthorised access to your account by third parties.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the total fees you paid to us in the 12 months preceding the claim, or (b) €100.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9. Termination

You may close your account at any time by contacting us at hello@nextowner.com. We may suspend or terminate your account if you breach these Terms, if required by law, or if we discontinue the Platform.

On termination, your right to use the Platform ceases immediately. Sections 4, 7, 8, and 10 survive termination.

10. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany, unless mandatory consumer protection laws in your country of residence provide otherwise.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, notify registered users by email. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
